This End User License Agreement (the "Agreement") is made and entered into as of the Effective Date (as defined below) by and between Recruitr LLC, a Pennsylvania limited liability company ("Recruitr") and the individual or entity that accepts this Agreement (the "Licensee").
Effective Date means the date on which the Licensee first uses the Recruitr App (as defined below).
Recruitr App means the mobile application developed and owned by Recruitr that allows users to connect with colleges and universities.
Licensed Materials means all content, data, information, software, documentation, and other materials made available to the Licensee by Recruitr in connection with the Recruitr App, including but not limited to the Recruitr App itself.
Subject to the terms and conditions of this Agreement, Recruitr grants to the Licensee a non-exclusive, non-transferable, limited license to use the Licensed Materials solely for the purpose of accessing and using the Recruitr App.
The Licensee shall not:
Use the Licensed Materials for any commercial purpose;
Modify, translate, or create derivative works of the Licensed Materials;
Reverse engineer, decompile, or disassemble the Licensed Materials;
Distribute, rent, lease, or sublicense the Licensed Materials to any third party; or
Use the Licensed Materials in a manner that violates any applicable law or regulation.
This Agreement shall commence on the Effective Date and shall continue in full force and effect until terminated in accordance with this Section 4.
Either party may terminate this Agreement for any reason upon 30 days' written notice to the other party.
In addition, Recruitr may terminate this Agreement immediately if the Licensee breaches any of the terms of this Agreement.
Upon termination of this Agreement, the Licensee shall immediately cease all use of the Licensed Materials and destroy all copies of the Licensed Materials in its possession or control.
The Licensee agrees to indemnify and hold Recruitr harmless from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with the Licensee's use of the Licensed Materials.
This Agreement shall be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of laws provisions.
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.
No waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
The agreement can be changed at any time by Recruitr with no notice.
The headings in this Agreement are for convenience only and shall not affect its interpretation.
This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
